Welcome to Vendor Tree, Inc. (“Vendor Tree,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website, www.vendortree.com , and all related services, applications, and features (collectively, the “Services”).
By creating an account, browsing the Site, or otherwise using the Services, you agree to be bound by these Terms and our Privacy Policy . If you do not agree, please discontinue use of the Services.
1. Overview of Vendor Tree
Vendor Tree is a two-sided online marketplace that connects event planners (“Planners”) with vendors and venues (“Vendors”) for events such as festivals, markets, and private functions. Vendor Tree provides tools for listing, messaging, and secure payment facilitation through third-party services.
Vendor Tree does not directly provide, own, or control the services offered by Vendors. All agreements for event services are strictly between the Planner and the Vendor.
2. Eligibility
To use Vendor Tree, you must:

Be at least 18 years of age;

Be able to form a legally binding contract; and

Use the platform for lawful business or personal purposes.
By registering, you represent and warrant that all information you provide is accurate and complete.
3. Account Registration
Users must create an account to access certain features. You are responsible for:

Maintaining the confidentiality of your login credentials;

All activity that occurs under your account; and
-
Promptly notifying Vendor Tree of unauthorized access or security breaches.
We reserve the right to suspend or terminate accounts that violate these Terms or misuse the platform.
4. Relationship Between Users
Vendor Tree provides the platform but is not a party to any transaction or contract formed between a Planner and a Vendor. Each party is responsible for:

Negotiating terms, deliverables, and pricing;

Complying with applicable laws and regulations; and

Fulfilling their respective obligations.
Vendor Tree is not responsible for disputes, service failures, or damages arising from user interactions.
5. Payments and Fees
Vendor Tree uses TrustAp to facilitate payments between Planners and Vendors.

Payment Processing: All transactions are processed securely through TrustAp’s escrow system. Vendor Tree does not collect or store payment card details.

Platform Fees: Vendor Tree may charge service, transaction, or subscription fees. These will be clearly disclosed prior to payment.

Payouts: Vendors will receive payments as outlined in TrustAp’s terms once event obligations are confirmed.

Taxes: Users are solely responsible for reporting and paying any applicable taxes arising from use of the Services.
6. User Conduct
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

Post false, misleading, or fraudulent information;

Infringe on any third-party rights, including copyrights or trademarks;

Circumvent the platform by conducting off-platform transactions introduced through Vendor Tree;
-
Interfere with or damage the platform or its security features;
-
Use automated systems, bots, or scraping tools without permission.
Violation of these rules may result in suspension or termination of your account.
7. Content Ownership and License
You retain ownership of content you upload (text, images, logos, listings, etc.), but grant Vendor Tree a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content for operating and promoting the Services.
You are solely responsible for ensuring that your content does not infringe on third-party rights.
8. Reviews and Feedback
Users may post reviews, ratings, or feedback about their experiences. By posting such content, you grant Vendor Tree the right to display and use it publicly. Vendor Tree may remove or edit feedback that violates our standards (e.g., defamatory, abusive, or false content).
9. Dispute Resolution Between Users
Vendor Tree encourages parties to resolve disputes directly through communication and TrustAp’s built-in resolution process. Vendor Tree may, at its discretion, provide mediation support but is not obligated to settle disputes.
Vendor Tree has no liability for losses or damages resulting from user-to-user interactions or contract breaches.
10. Platform Changes and Availability
Vendor Tree may update, modify, or discontinue features at any time without notice. We strive to maintain uptime but do not guarantee uninterrupted or error-free operation of the Services.
11. Termination
We may suspend or terminate access to the Services at our discretion if:

You violate these Terms or applicable laws;

You engage in fraudulent or harmful activity; or
-
Your continued use poses a risk to Vendor Tree or its users.
Upon termination, your right to use the platform ceases immediately. Certain obligations (e.g., outstanding payments, confidentiality) will survive termination.
12. Intellectual Property
All intellectual property on Vendor Tree — including trademarks, logos, text, software, and designs — is owned by or licensed to Vendor Tree, Inc. You may not copy, reproduce, or use these materials without prior written consent.
13. Disclaimer of Warranties
The Services are provided on an “as is” and “as available” basis without warranties of any kind. Vendor Tree disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We make no guarantees about user reliability, quality of services, or availability of the platform.
14. Limitation of Liability
To the fullest extent permitted by law, Vendor Tree, Inc., its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages arising from or related to your use of the Services.
Our total liability for any claim shall not exceed the amount paid to Vendor Tree in the past twelve (12) months preceding the claim.
15. Indemnification
You agree to indemnify and hold harmless Vendor Tree, Inc. and its affiliates from any claims, damages, or expenses (including legal fees) arising from:

Your breach of these Terms;

Your violation of any law or third-party rights; or

Your use of the Services.
16. Privacy
Your use of the Services is also governed by our Privacy Policy , which explains how we collect, use, and share your data.
17. Governing Law
These Terms are governed by and construed under the laws of the State of Florida, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the state or federal courts of Sarasota County, Florida.
18. Modifications to These Terms
Vendor Tree may update these Terms from time to time. Any changes will be posted on this page with a revised effective date. Continued use of the Services constitutes acceptance of the updated Terms.
